Frame28 Terms of Service

These terms govern the Frame28 service between Think28 ([[legal name]], tax ID [[tax ID]], [[address]], Spain; "Think28") and the customer who signs an order form or accepts these terms when ordering on frame28.app (the "Customer"). The service is for businesses and professionals, not consumers.
1. Subject
Frame28 turns videos supplied by the Customer into video pieces edited with the Customer's brand: long video, vertical shorts, cover, product-page version, subtitles and versions in other languages. The specific scope of each engagement (tier, number of videos, languages, deadlines and price) is set in the order form, which is part of this agreement. If they conflict, the order form prevails.
2. Definitions
- Customer Material: videos, audio, images, logos, text, data and any other content the Customer gives Think28 for the service.
- Brief: the Customer's answers to the Frame28 brand questionnaire (colors, logo, tone, product, messages, call to action) and any written instructions.
- Piece: each final file delivered (a long video, a short, a cover, a 1:1 version, a subtitle file, a version in another language).
- Deliverables: all the Pieces of an order.
- Contact sheet: the review image with frames of every Piece that Think28 sends before delivery.
- Round of changes: a single list of adjustments to the delivered Pieces, sent by the Customer in one go, as described in clause 6.
- Stock: third-party video or image material under a commercial license that Think28 adds to a Piece.
3. Service tiers
The tiers, what each includes and current pricing are published on frame28.app. As of this version:

Add-ons: additional language, 190 USD per long video with its shorts; normalized creator or affiliate clip, 79 USD per clip. Early-adopter prices apply to members of the Founders program (clause 15) and are locked for twelve months from the first order form.
4. Process and deadlines
- Order. The Customer signs the order form or accepts these terms in the order form on the website.
- Materials. The Customer delivers the Customer Material and the Brief. The delivery deadline starts on the business day after Think28 has everything it needs and the initial payment (clause 8).
- Direction and editing. Think28 analyzes the video, decides what goes on screen and when, writes the edit script and generates the Pieces.
- Review. Think28 sends the Contact sheet and the Pieces. The Customer has 10 business days to approve them or request its Round of changes. With no answer in that period, the Pieces are deemed approved.
- Final delivery. After the Round of changes, Think28 delivers the final Pieces through a download link available for at least 60 days. The Customer must keep its own copy.
Deadlines: Launch, 5 business days to the first delivery. Studio, per the agreed monthly calendar. If Think28 exceeds the deadline by more than 5 business days for reasons attributable to it, the Customer may terminate the order and recover what it paid for the undelivered Pieces.
5. Customer obligations regarding its material
The Customer warrants that:
- It holds the rights needed for Think28 to use the Customer Material in the service and for the resulting Pieces to be exploited: copyright in the video and audio, image and voice rights of the people who appear (including employees, creators and customers), trademarks and logos, and any music and fonts contained in the material.
- Creator or affiliate material delivered for normalization comes with the creator's authorization to be edited and published by the brand.
- The claims it asks to show on screen (prices, discounts, customer figures, product properties, comparisons) are true and comply with advertising and consumer regulations in the markets where they will be published. Think28 reproduces that data; it does not verify it.
- The material does not infringe third-party rights and contains no unlawful content.
The Customer will hold Think28 harmless against third-party claims arising from a breach of these warranties. If Think28 spots an evident problem (unlicensed commercial music, third-party logos, minors without apparent consent), it will flag it and may suspend the order until it is resolved.
6. Rounds of changes and additional work
A Round of changes covers adjustments to what was delivered: on-screen text, timing, colors, order of blocks, choice among the proposed hooks, subtitle and translation corrections, cover change.
It is not a Round of changes, and is quoted as additional work: a different source video, a new or substantially changed Brief (another brand, product or message), languages or pieces not in the order form, or changes after approval. Launch includes 1 Round; Studio, 2 per Piece.
7. Stock, fonts and third-party tools
- Stock. Think28 only adds Stock from providers with a commercial license that requires no attribution (currently Pexels and Pixabay) or material supplied by the Customer. Every Stock element is documented in the delivery (provider, author, license). Stock is licensed for use within the Pieces; the Customer may not extract and resell it separately, nor use it in a way that suggests the people shown endorse its product, per the provider's terms.
- Music. Not included unless the Customer supplies it with a license. [[decision: offer licensed library music as an add-on]]
- Fonts. Typefaces in the Pieces are free-license or supplied by the Customer with its license.
- Tools. The edit is generated with Think28 software (partly published as open source under the MIT license) and third-party tools run on Think28 machines. For direction of the edit, Think28 uses Anthropic language models (Claude): they receive the video transcript, the Brief, the edit script and review frames, under Anthropic's commercial terms, which do not allow training models on that data [[confirm current subscription terms or move to the API]]. Video and audio files are not uploaded to third-party editing platforms.
8. Price, invoicing and payment
- Prices are in USD and exclude indirect taxes. Customers established in the European Union are charged the applicable VAT; others receive the treatment Spanish law provides for services rendered outside the Union. [[confirm with the tax advisor; state the tax on the order form]]
- Launch: 100% at order. Work starts when payment is received.
- Studio: monthly fee in advance, with an initial 3-month commitment and automatic monthly renewal. The Customer may cancel with 30 days' notice once the commitment is met. Unused Pieces in a month do not roll over. [[decision: allow carrying up to 2 videos into the next month]]
- Team: setup fee at signature and monthly fee in advance; the fee covers support and updates while it is paid. Without the fee, the Customer keeps the installed software (MIT license) but not support nor its brand configuration in new versions.
- Payment methods: bank transfer or card [[Stripe or other]]. Invoices are issued on the charge date.
- Overdue payment suspends the service and access to the knowledge base and online course until settled.
- Customer area. The knowledge base and the online course are served on frame28.app with access by the Customer's email (one-time code). They are for internal use by the Customer and its employees; they may not be redistributed or resold. On Launch, access lasts 12 months from final delivery; on Studio and Team, while the service is active.
9. Launch guarantee
If the Customer does not publish at least half of the Pieces of a Launch order within 30 days of final delivery, it may request a full refund of the amount paid for that order, by email, before day 40. Think28 refunds within 15 days and the Customer loses the right to use the unpublished Pieces.
The guarantee does not apply if delivery could not be completed for lack of materials, Brief or approval from the Customer, nor to Studio, Team or add-ons.
10. Intellectual property
- Deliverables. Upon full payment of the order, Think28 assigns to the Customer, worldwide, perpetually and exclusively, the exploitation rights in the final Pieces: reproduction, distribution, public communication and adaptation, in any medium and format, including paid advertising. No watermarks and no dependence on Think28 to keep using them.
- What is not assigned. Think28 retains ownership of its software, methodology, templates, edit scripts (storyboards), intermediate projects, hook library and know-how, and may reuse them with other customers. On Team, the Customer receives the software under the MIT license and its brand configuration files, which are its own.
- Customer Material. Remains the Customer's. Think28 uses it only for the service and deletes it from its machines 90 days after final delivery, except for copies needed to honor guarantees or claims.
- Stock. Subject to its provider's license (clause 7).
- Portfolio. Think28 may name the Customer as a customer and show excerpts of already-published Pieces as samples of its work, unless the Customer objects in writing. Founders are governed by clause 15.
11. Confidentiality
Each party will treat as confidential the non-public information it receives from the other (launches, unannounced products, figures, unpublished materials, negotiated prices) and will not use it for purposes other than the service. The obligation lasts two years from the last delivery. Information that is already public, already known to the party or that must be disclosed by law is not confidential.
12. Personal data
- Think28 is the controller of the Customer's contact data (name, email, company) to provide the service, invoice and communicate; legal basis, performance of the contract. Data is kept for the duration of the relationship and the statutory periods. Rights of access, rectification, erasure and others at [[email]].
- If the Customer Material contains personal data (people who appear, voices, names), Think28 acts as processor on behalf of the Customer and only processes it to produce the Pieces. The parties will sign the data processing addendum at the Customer's request. Sub-processors: Anthropic (language models, clause 7), Cloudflare (website and forms) and [[download-link provider]].
- International transfers: the providers above may process data in the United States under the safeguards provided by the GDPR (standard contractual clauses or the privacy framework in force).
13. Liability
- Think28 undertakes to provide the service with professional diligence and to deliver the Pieces in accordance with the order form and the Brief.
- Think28 does not guarantee audience or sales results (views, reach, conversion, hook performance). The Studio monthly report is indicative.
- Think28's total liability on any ground is limited to the amount paid by the Customer in the 12 months before the event giving rise to it. Neither party is liable for indirect damages or loss of profit. These limits do not apply in case of willful misconduct or gross negligence.
- The Customer is ultimately responsible for reviewing each Piece before publishing it: text, figures, translations and regulatory compliance in each market.
14. Term and termination
Launch ends with final delivery or the guarantee refund. Studio and Team have the term set in clause 8. Either party may terminate if the other breaches a material obligation and fails to cure it within 15 days of written notice. On termination, the Customer pays for the Pieces already delivered and keeps the rights in them; Think28 refunds what was charged for undelivered Pieces.
15. Founders program
The first five customers who join the program receive: early-adopter pricing locked for 12 months from their first order form on any tier, a vote on the product roadmap, their logo on frame28.app as a founding brand and a direct line to the team. In return, the Customer commits to: a publishable case study with figures (Think28 drafts it, the Customer approves within 10 business days), a testimonial and two 30-minute feedback sessions. The program closes with the fifth customer or 90 days after opening.
16. Force majeure and third-party services
Neither party is liable for delay or non-performance caused by events beyond its reasonable control. Think28 is not liable for the unavailability of third-party services (publishing platforms, stock providers, language models) and, if one of those dependencies fails, will propose an alternative or adjust the deadline.
17. Notices and changes
Notices under this agreement are sent by email to the addresses on the order form. Think28 may update these terms and its prices by publishing the new version on frame28.app; orders in progress and locked Founders prices are governed by the version accepted.
18. Governing law and jurisdiction
This agreement is governed by Spanish law. For any dispute, the parties submit to the courts of [[city]], Spain, waiving any other venue, after attempting an amicable solution for 30 days. The Spanish and English versions have the same content; in case of discrepancy the Spanish version prevails [[decision: for US customers it may be preferable that the English version prevails; consult]].

Before sending material, make sure you can tick every box:
- [ ] Your brand shot the video, or you have a written contract or permission from whoever shot it.
- [ ] The people who appear (employees, creators, customers) have authorized their image and voice for advertising.

- [ ] The music in the video is licensed for advertising, or you authorize us to remove it.
